## Common questions

### What is an NDA?

An NDA, or non-disclosure agreement, is a contract in which one side promises to keep certain information private. It is also called a confidentiality agreement. People sign one before sharing business plans, designs, client lists or prices. It names who shares, who keeps the secret, what is covered, and for how long.

### One-way or mutual NDA: which do I need?

Use a one-way NDA when only one side shares secrets, such as when you brief a contractor. Use a mutual NDA when both sides share, such as when two businesses talk about working together. If you are unsure who will end up sharing more, a mutual NDA is usually the fairer and safer choice.

### Can a company ask visitors to sign an NDA?

In general, yes. An NDA is a contract, and a company can ask a visitor to agree to one before they enter non-public areas. Visitors can still refuse, so keep the form short and specific. The Visitor NDA is one page and covers only what the visitor sees or hears during the visit.

### How long should an NDA last?

Two to five years is common for business information. Pick a length that matches how long the information stays sensitive: a launch date may matter for months, a client list for years. Write the number of years on the form so both sides know. Ask a lawyer if you hold trade secrets.

### What does an NDA not cover?

Most NDAs leave out information that is already public, was already known to the person receiving it, was developed on its own, or came from someone free to share it. The law can also require sharing, for example under a court order. This template lists all of these in plain words.

### Is this template free?

Filling it in is free, and you do not need an account. You type your answers in your browser and download the finished PDF. The blank PDF is free to download once; after that, Pro, Lifetime and Team unlock every blank template.

### What if I only want the blank PDF?

One blank download is free for each visitor. After that, Pro gives you every blank template, plus unlimited uses. You can still fill any template in free.

### Does PDFinish see what I type?

Not while you fill it in. The template opens and fills in your browser. If you ask us to email the finished file, it goes through our server, stays encrypted for 7 days so the link works, and is then deleted.
