# Can a company require visitors to sign an NDA?

> Many companies do ask visitors to sign an NDA before they enter non-public areas. An NDA is a contract, and a signature on a screen can form one under the federal ESIGN Act. It works best when it is short, names what is confidential and covers only the areas visitors cannot normally see.

A visitor arrives for a meeting, an interview or a repair. Behind the front desk are screens, plans and papers the company would rather keep private. A one-page NDA at check-in is the usual answer. This guide covers what that document is, what to keep in it and what a few federal and state rules mean for it.

## What is a visitor NDA?

A visitor NDA is a short non-disclosure agreement that a guest signs at check-in. The guest agrees not to share non-public information they see or hear during the visit. It is a contract between the company and the visitor, so the ordinary questions about any contract apply: is it clear, is it fair, and can the company show the visitor agreed to it?

## Can a visitor sign an NDA on a tablet?

Yes. The ESIGN Act, at 15 U.S.C. 7001, says a contract may not be denied legal effect, validity or enforceability solely because an electronic signature or electronic record was used in its formation. NDAs are not among the documents listed in the Act's exceptions (15 U.S.C. 7003). See [Is a signature on an iPad legally binding?](https://pdfinish.com/blog/is-a-signature-on-an-ipad-legally-binding) for what helps prove who signed.

## What should a short visitor NDA say?

A visitor is not a business partner, and a long agreement slows the line and makes people skim. These points are good drafting practice, not legal rules:

- Say who is bound and who is protected, with names and a date.
- Define confidential information in plain words, such as what the visitor sees or hears in non-public areas: screens, documents, plans and conversations.
- List what is not confidential: public information, and what the visitor already knew.
- Keep it to the visit and a stated period, not forever by default.
- Say what the visitor should do if they see something by mistake, such as tell the host.
- Leave out anything that works like a job restriction, such as a promise not to take work from a competitor.

## Why limit it to non-public areas?

A lobby is open to anyone. Asking a delivery driver to keep secrets about a lobby plant is odd, and an agreement that tries to cover everything can look overbroad. Tie the NDA to the areas and information that are actually private, and let the host say when a visitor is crossing from one to the other.

## What changes for interviewees and contractors?

An interview candidate usually sees less, so the NDA can be shorter. A contractor may see more, and a federal rule matters. Under 18 U.S.C. 1833(b), an employer must give notice of a trade secret immunity in any contract or agreement with an employee that governs the use of a trade secret or other confidential information. The law says "employee" includes any individual working as a contractor or consultant.

The immunity covers disclosing a trade secret in confidence to a government official or an attorney solely to report or investigate a suspected violation of law, and certain filings made under seal. If the notice is missing, the employer may not be awarded exemplary damages or attorney fees in an action against that individual. Ask a lawyer whether your contractor NDA needs the notice.

## Do other laws limit what an NDA can cover?

Yes, in some situations, and they differ by state. Federal law on whistleblower immunity, covered above, is one example, and state rules vary. We do not cover the rest here. A visitor NDA that stays about the company's own non-public information is the safest shape, and a lawyer can check yours against your state's rules.

## What if a visitor will not sign?

Stay calm and offer a choice. The host can meet the visitor in a public area, such as the lobby or a meeting room that holds nothing private, instead of taking them to the non-public floor. Do not pressure the visitor or make a show of it. Tell your staff in advance what they may offer, so that every visitor gets the same answer and nobody has to invent one at the desk.

## What should the company keep?

Give the visitor a copy and keep the signed version with the date and the version of the text they saw. ## Common questions

### Can a company make visitors sign an NDA before they enter?

Many do, as a condition of entering non-public areas. It is a contract, so it should be clear and limited to what is actually private. A lawyer can check it against your state's rules.

### Is an NDA signed on an iPad valid?

Under the federal ESIGN Act, a contract may not be denied legal effect solely because an electronic signature was used. NDAs are not on the list of exceptions in 15 U.S.C. 7003.

### How long should a visitor NDA be?

One page is enough for most visits. Name the parties, define confidential information in plain words, list what is not confidential and set a time limit. Long forms slow check-in and are skimmed.

### Do contractors need anything extra in an NDA?

Possibly. Federal law, 18 U.S.C. 1833(b), asks employers to give notice of whistleblower immunity in agreements with employees about confidential information, and defines employees to include contractors and consultants. Ask a lawyer.

### Should visitors get a copy of the NDA?

Yes, as good practice. A copy shows what they agreed to and helps the company prove it. Keep your own signed copy with the date and the version.
